Overview
iCapital is a private-markets operating and distribution platform used by wealth managers, asset managers, institutions, and family offices.
It is not accurately described as a simple retail app for purchasing private equity.
Current iCapital materials position the system around financial professionals who need to:
- source alternative investments;
- structure access vehicles;
- onboard investors;
- complete subscriptions and AML;
- manage capital events;
- process transfers and redemptions;
- administer secondary sales where available;
- consolidate documents and reporting.
The current product menu spans:
- private equity;
- private credit;
- real assets;
- hedge funds;
- structured investments.
iCapital Marketplace connects wealth managers and family offices with alternative-investment managers. The platform also provides technology to asset managers that want to distribute and administer funds through the wealth channel.
The important distinction is similar to CAIS but not identical:
iCapital is both distribution/operating infrastructure and, through affiliates, sponsor or manager of certain access funds.
May fit better for
- RIAs, broker-dealers, banks, wirehouses, and family offices using alternatives at scale;
- high-net-worth investors whose financial professional already uses iCapital;
- advisors who need one investment lifecycle and reporting system;
- investors seeking private funds or structured investments through a wealth relationship;
- managers seeking feeder/access-fund infrastructure;
- investors who can tolerate product-specific lockups and complex tax reporting.
May fit less well for
- self-directed users looking for a public-stock brokerage;
- investors who want one universal account minimum;
- users expecting one published platform fee;
- investors who require daily liquidity;
- clients unwilling to read offering-specific terms;
- users who assume iCapital itself is the custodian for every asset.
---
The current broker name is iCapital Markets LLC
Current iCapital disclosure uses:
- Broker dealer:
- Name: iCapital Markets LLC
- CRD: 118219
- SEC number: 8-53640
- FINRA member: Yes
- SIPC member: Yes
Current FINRA BrokerCheck confirms the legal name and registration identifiers.
This creates a stale-data trap.
Older materials can contain prior broker names, including iCapital Securities references.
A rename does not erase historical records, but the current review should use the current legal entity.
---
iCapital Advisors is a separate SEC-registered adviser
Current legal disclosures identify:
- Investment adviser:
- Name: iCapital Advisors, LLC
- CRD: 177513
- SEC number: 801-106690
- SEC registered: Yes
iCapital Advisors acts as sponsor and/or manager of certain access funds sponsored by iCapital affiliates.
"iCapital Markets manages every iCapital private fund."
The broker-dealer role and advisory/fund-management role are separate.
Some underlying funds are managed by third-party asset managers.
Some iCapital-sponsored access vehicles can provide indirect access to those third-party funds.
---
Access is wealth-manager centered
Current iCapital materials describe the primary audience as:
- wealth managers;
- asset managers;
- institutional investors;
- families and family offices.
For wealth managers, iCapital provides an operating system for private markets and structured investments.
An individual investor can be the beneficial investor in an iCapital-supported product.
That does not turn iCapital into an ordinary direct retail brokerage.
The relevant account and eligibility path is determined by the financial institution, investment, and distribution arrangement.
---
Minimums are product-specific
iCapital's value proposition includes reducing some traditional private-market barriers through access funds, technology, and aggregated distribution.
Current public materials do not support one universal current minimum across the marketplace.
A private-equity access fund, direct private fund, structured investment, registered product, and hedge-fund strategy can use different thresholds.
Eligibility can also depend on:
- accredited-investor status;
- qualified-purchaser status;
- financial-institution policies;
- jurisdiction;
- product registration or exemption.
---
There is no universal all-in iCapital fee
The platform can contain several economic layers:
- underlying manager management fee;
- underlying manager performance allocation/carry;
- access-fund expenses;
- administration;
- placement or distribution compensation;
- structured-investment economics;
- advisor or wealth-manager fee;
- custody or account charges.
A platform-level technology arrangement between iCapital and a wealth firm also should not be mistaken for the end investor's complete cost.
For an access fund, the relevant question is whether the structure adds a fee layer on top of the underlying manager.
For a structured investment, the economics can be embedded in issuance terms rather than displayed like a fund expense ratio.
---
Custody is partner-integrated, not singular
iCapital promotes integrations with custodians and platform partners.
The integration network is a major operational benefit.
It also means there is no basis for a universal statement:
- iCapital is custodian: Yes
The legal custody chain should be verified from the financial institution and offering documentation.
Technology integration can make positions visible in one interface without changing who legally holds the asset.
---
Lifecycle tools do not create liquidity
Current iCapital materials include operational support for:
- redemptions;
- transfers;
- secondary sales;
- liquidating distributions.
Those are lifecycle capabilities.
They do not establish a guaranteed exit right.
A private fund can prohibit transfers for years.
A registered interval structure can permit periodic repurchase requests.
A secondary transaction may require buyer demand, manager consent, eligibility, pricing agreement, and documentation.
The existence of a secondary workflow is not the same thing as a liquid market.
---
Data and reporting are central to the platform
iCapital's operating system handles both on-platform investment data and, in some configurations, alternative-investment data held elsewhere.
This matters because private markets create administrative work that public brokerage accounts largely automate:
- capital calls;
- K-1s;
- NAV statements;
- subscription documents;
- manager notices;
- distributions;
- commitment schedules.
Consolidated reporting can improve visibility.
It does not turn private NAV into a continuously executable market price.
Assessment
iCapital's strongest feature is not a single exclusive fund.
It is the infrastructure layer that lets wealth firms treat alternatives more like an organized operating system instead of a collection of disconnected PDFs, wire instructions, portals, and spreadsheets.
That can improve:
- access;
- administration;
- reporting;
- data consistency;
- subscription workflow.
It cannot standardize the underlying economics.
The central ROIStreet judgment should therefore be:
evaluate iCapital as infrastructure, but evaluate every investment on its own legal structure, fee stack, eligibility test, valuation method, and liquidity terms.
