Overview

As of September 4, 2026, Streitwise is not a normal new-investment opportunity.

The legal issuer, 1st stREIT Office Inc., is evaluating strategic alternatives intended to provide stockholder liquidity.

In connection with that review, the board:

  • suspended the distribution reinvestment and direct stock purchase plan effective June 25, 2026;
  • suspended the stockholder redemption plan effective July 1, 2026.

That current status overrides older Streitwise marketing pages describing an open non-traded REIT with ongoing purchases and redemptions.

The current investor question is therefore less:

"Should I buy Streitwise?"

and more:

"What does the current suspension and strategic-alternatives process mean for existing holders?"

May fit better for

  • existing shareholders monitoring the current liquidity process;
  • investors researching the structure of private/non-traded office REITs;
  • investors evaluating private REIT fee and NAV mechanics.

Currently does not fit

  • new investors seeking an immediately available Streitwise purchase;
  • investors requiring a working redemption program;
  • investors needing exchange-traded liquidity;
  • investors unwilling to accept strategic-transaction uncertainty;
  • investors seeking diversified residential real estate.

---

Legal issuer

Streitwise is the consumer brand associated with:

  • Legal issuer: 1st stREIT Office Inc.
  • Entity type: Maryland corporation
  • REIT tax status: Yes
  • Regulation a: Yes

The manager is:

  • Manager: SW Manager, LLC

The sponsor organization is associated with Tryperion.

---

Current purchase status

This is the most important structured field:

  • Current new purchase program active: No
  • Direct stock purchase plan suspended: Yes
  • DRIP suspended: Yes
  • Purchase DRIP suspension effective: 2026-06-25

The board suspended the distribution reinvestment/direct stock purchase plan.

Any historical minimum belongs only in historical context.

---

Current redemption status

  • Stockholder redemption plan active: No
  • Redemption plan suspended: Yes
  • Redemption suspension effective: 2026-07-01

Existing shareholders cannot rely on the old scheduled redemption program while the suspension remains in effect.

---

Why the plans were suspended

The June 2026 SEC filing states the company has begun evaluating possible strategic alternatives to provide stockholder liquidity.

Potential paths can include:

  • business combination;
  • another transaction intended to provide a liquidity event;
  • other strategic alternatives.
  • Strategic alternatives review: Yes
  • Strategic transaction guaranteed: No

No specific transaction is guaranteed.

---

Current NAV

Current disclosed NAV:

  • NAV per share: 6.96
  • NAV measurement date: 2026-03-31
  • NAV effective price date: 2026-07-01

The company set $6.96 as the then-current purchase-price/NAV reference effective July 1, 2026 even though the purchase plan had been suspended.

NAV is calculated by the manager under the company's valuation policies.

It is not a quoted public-market price.

---

NAV history

Current filing reports:

  • NAV history:
  • 2025 03 31: 6.85
  • 2025 06 30: 6.85
  • 2025 09 30: 6.92
  • 2025 12 31: 6.96
  • 2026 03 31: 6.96

This shows relative stability in reported NAV.

It does not prove that an arm's-length buyer would pay $6.96 today.

There is no ordinary public exchange price.

---

Current portfolio value and leverage context

As of March 31, 2026, the SEC filing reported approximately:

  • Real estate fair value: $76.9 million
  • Secured notes payable: $43.1 million

Leverage magnifies the impact of changes in property value.

If property values decline, equity NAV can decline faster than the gross real-estate value.

---

Office concentration

1st stREIT Office Inc. is primarily a commercial-office real-estate vehicle.

This creates exposure to risks including:

  • office leasing demand;
  • tenant concentration;
  • lease rollover;
  • remote-work trends;
  • interest rates;
  • refinancing;
  • cap rates;
  • local office supply;
  • tenant improvements and leasing commissions.

---

Asset-management fee

Current manager compensation remains:

  • Asset management fee:
  • Annualized rate: 2.00%
  • Basis: NAV
  • Paid: quarterly

A 2% asset-management fee is substantial compared with low-cost public REIT ETFs.

---

Asset-management fee math

If applicable NAV attributable to an investor's economic interest is $10,000:

$10,000 × 2.00% = $200/year

as a simplified headline management-fee equivalent.

The fee is paid at the vehicle level, not necessarily invoiced directly to each shareholder.

It excludes property-level operating expenses.

---

"No other manager fees" does not mean no other costs

Streitwise disclosures state the manager does not charge certain additional affiliate fees such as:

  • acquisition fees;
  • disposition fees;
  • financing fees.

The REIT still incurs ordinary business/property costs.

Its 2025 financial statements included expenses such as:

  • operations and maintenance;
  • real-estate taxes and insurance;
  • property-management fees;
  • general and administrative expenses;
  • depreciation/amortization;
  • interest/financing costs.

---

2025 operating expenses illustrate the distinction

The 2025 annual report disclosed approximately:

  • 2025 rental income: $11.46 million
  • 2025 property management fees: $317,337
  • 2025 affiliate asset management fee: $470,974

These figures are historical vehicle-level results, not investor-level fees.

They demonstrate why manager compensation and property expenses are different categories.

---

Q2 2026 dividend

On June 16, 2026, the board declared:

  • Q2 2026 cash dividend per share: 0.04
  • Record date: 2026-06-25
  • Payment date: 2026-07-10

The company stated that this quarterly dividend equated to a 2.3% annualized rate using the $6.96 purchase-price reference.

Future dividends can:

  • change;
  • be reduced;
  • be suspended.

---

Dividend math

At $6.96 per share:

Four hypothetical quarters at $0.04 each would equal:

$0.16/year

$0.16 ÷ $6.96 ≈ 2.30%

That reproduces the filing's annualized reference.

It assumes four equal quarterly dividends and therefore should not be described as guaranteed.

---

Historical purchase mechanics are not current access

Before the June 25 suspension, the company's direct stock purchase/DRIP structure allowed qualifying existing investors to make additional purchases under then-current terms.

Those mechanics are historical while the plan remains suspended.

  • Historical purchase plan exists: Yes
  • Currently usable: No

---

Historical redemption mechanics are also suspended

Before July 1, 2026, Streitwise maintained a stockholder redemption plan with:

  • holding-period rules;
  • graduated redemption pricing;
  • capacity limits;
  • manager/board discretion.

The plan could be modified or suspended—and now has been suspended.

That history reinforces why private-REIT redemption programs should never be described as guaranteed liquidity.

---

No public secondary exchange

  • Public exchange listing: No
  • Public secondary market: No
  • Current redemption program: No

As of the fact-check date, an existing investor should assume liquidity is constrained pending further company action.

---

Regulation A does not solve liquidity

Streitwise's securities were offered under Regulation A.

Regulation A:

  • permits a public-style exempt offering;
  • imposes reporting obligations.

It does not create:

  • an exchange listing;
  • guaranteed redemptions;
  • stable NAV;
  • guaranteed dividends.

---

NAV is manager-determined

Private REIT NAV relies on valuation procedures rather than daily exchange trading.

Inputs can include:

  • third-party valuations;
  • comparable properties;
  • leases;
  • cash flows;
  • cap rates;
  • liabilities.

A strategic transaction can ultimately value the company differently from reported NAV.

---

Strategic-alternatives uncertainty

Possible outcomes can be better or worse than current NAV.

Investors face uncertainty around:

  • transaction timing;
  • transaction structure;
  • buyer demand;
  • transaction costs;
  • asset values;
  • debt payoff/refinancing;
  • taxes;
  • whether a transaction occurs at all.

The current suspension should be treated as a material liquidity event in the review.

---

Protection

Streitwise shares are not FDIC-insured deposits.

  • FDIC: No
  • Public market SIPC protection: No
  • SEC qualification means approved: No

A private REIT can lose value because of operating or real-estate conditions.

Assessment

Streitwise is the clearest example in this batch of why current-state research matters.

An older review could reasonably describe:

  • an open Regulation A REIT;
  • ongoing direct purchases;
  • a redemption plan.

That is no longer the current situation.

As of September 4, 2026:

  • direct purchases/DRIP are suspended;
  • redemptions are suspended;
  • the company is evaluating strategic alternatives intended to improve shareholder liquidity.

The 2% annualized asset-management fee remains material, especially in an office-focused portfolio facing industry-specific pressure.

For an existing shareholder, the key variables now are:

  • NAV quality;
  • debt;
  • office fundamentals;
  • strategic transaction outcome;
  • timing of liquidity.

For a prospective investor, there is currently no ordinary active purchase program to evaluate.
